User Services Rules Policy

This User Services Rules Policy forms part of the Member Terms and Conditions and Advisor Terms and Conditions and is incorporated by reference therein. Without limiting any other remedies Barges Technologies, Inc. may have, Barges Technologies, Inc. may immediately terminate your account without notice if Barges Technologies, Inc. determines in its sole discretion that you have violated any of the following policies.

1. By accessing and/or using the Site and Services, you represent, warrant, and agree to the following

• You will conduct all for-fee communications that you have with other Members or Advisors only through the Site, and you will not circumvent or attempt to circumvent the Site using third-party payment services.
• You will not provide any Services which require professional licensure, such as a physician, other health practitioner, attorney, accountant or financial planner, through the Site. You will not offer advice or predictions about legal issues.
• You will not provide advice on topics or situations involving minors who are in danger, such as domestic violence situations, grooming of minors, or by providing advice to Members who are expressing a romantic interest in minors.
• You will not create frivolous listings, repetitive listings placed across multiple categories or listings that are irrelevant to the categories under which they are created.
• You will not send negative communications to Members in response to less-than-perfect feedback you received from them or otherwise interfere with Barges Technologies, Inc.’s feedback system. You will not disconnect conversations solely to avoid receiving Member feedback or delete listings solely because of Member feedback you disagree with.
• You will not solicit donations or contributions of any kind from Members through the Site, nor imply or suggest any of value will be provided in exchange for a donation or contribution.
• Barges Technologies, Inc. does not refer, endorse, recommend, verify, evaluate or guarantee any advice, information and other products or Services provided by Advisors, and nothing shall be considered as a referral, endorsement, recommendation or guarantee of any Advisor or group of Advisors by Barges Technologies, Inc.. You will not offer listings, create or distribute information, including but not limited to advertisements, press releases or other marketing materials, or include links to any sites which offer such information, containing or suggesting an endorsement by Barges Technologies, Inc. of you, your listings or your Services.
• You will not use any banner advertisements or "pop up" windows or create or include links to sites which involve e-commerce, marketing, solicitation or sale of any items of any kind, whether related to or outside the scope of your Advisor listing, nor transmit "junk mail," "spam," "chain letters" or unsolicited mass distribution of email or bulletin board postings or transmit any solicitation for employees, consultants, contractors or for participation on other websites.
• You will not offer or provide advice, directly or through writings, as to the value of securities or as to the advisability of investing in, purchasing or selling securities or any report or analysis concerning securities or investments, or otherwise provide financial planning advice or related services.
• You will not offer advice or provide any product or services related to or claiming success with lottery numbers, gambling or gaming of any kind, sports betting, multi-level marketing proposals (for example, offering to help Members "get rich quickly", "lose weight now", or "make money surfing the web").
• You will not offer services that involve Adult Content. For the purposes of this policy, Adult Content refers to any explicit, sexually suggestive or pornographic conversation or material that is intended to sexually arouse or promote the achievement of sexual gratification. This includes, but is not limited to, explicit images, videos, text, phone conversations or any other content that is sexually explicit in nature.
• You will not provide services that guarantee alteration of the future, including the assurance of an outcome based on action you take on behalf of a user. Any services that entail spells, curses or negative energy removal are expressly prohibited.
• When your status is set to "available," you will make reasonable efforts to respond to other Members; provided, however, that nothing in this User Service Rules Policy requires you to be available at any time or for any minimum amount of time, and such availability shall be solely in your discretion to determine. Barges Technologies, Inc. may, however, in its sole discretion, suspend or terminate your account if you fail to comply with this rule.
• You will not record or otherwise store, distribute or transmit any live calls, chats or video sessions (in whole or in part) that you conduct with a User.

2. Indemnification Clause

YOU AGREE TO HOLD HARMLESS, DEFEND AND INDEMNIFY BARGE TECHNOLOGIES, INC., AND ITS OFFICERS, BOARD MEMBERS, EMPLOYEES, SUBSIDIARIES, AGENTS AND REPRESENTATIVES, FROM AND AGAINST ANY LIABILITY ARISING FROM OR IN ANY WAY RELATED TO YOUR USE OF THE SITE OR PROVISION OF SERVICES, INCLUDING ANY LIABILITY OR EXPENSE ARISING FROM ALL CLAIMS, LOSSES, DAMAGES (ACTUAL AND CONSEQUENTIAL), SUITS, JUDGMENTS, LITIGATION COSTS AND ATTORNEYS' FEES, OF EVERY KIND AND NATURE, KNOWN AND UNKNOWN, FORESEEABLE AND UNFORESEEABLE, DISCLOSED AND UNDISCLOSED.
